The ₹311 crore transaction gives Enviro Infra Engineers control of a wind EPC company, adding to its solar, storage, water, and wastewater businesses while taking the group order book to about ₹5,600 crore
Enviro Infra Engineers has widened its business direction with a controlling stake in Suyog Urja Limited, a wind energy EPC company, through its wholly owned subsidiary EIE Renewables Private Limited.
The transaction is valued at ₹311 crore and will be completed in three tranches. The first tranche gives Enviro 51 percent equity in Suyog Urja for ₹111 crore, followed by 24 percent for ₹108.85 crore in 2027 and the remaining 25 percent for ₹91.15 crore in 2028, taking ownership to 100 percent.
The acquisition gives Enviro access to wind EPC capability, adding to its presence in solar, battery energy storage, water, and wastewater treatment. The company said the move will help it participate in larger renewable energy projects involving wind, solar, and storage.
Sanjay Jain, Chairman, Enviro Infra Engineers Limited, said, “This acquisition marks a significant milestone in our vision to deliver diversified solutions for a greener planet. Alongside our existing strengths in water and wastewater treatment, solar and energy storage, we are now well positioned to deliver integrated, future ready solutions to our clients.”
Suyog Urja has completed more than 500 MW of projects and has over 600 MW under execution. It also has an order book of around ₹650 crore and a technical team of more than 160 professionals across land acquisition, regulatory approvals, engineering, execution, and commissioning.
Chetraj Khadka, CEO, Suyog Urja Limited, said, “Partnering with Enviro Infra Engineers marks an important milestone for Suyog Urja. Their strong balance sheet, execution track record, and growing presence in renewables provide the right platform for our next phase of growth.”
After the acquisition, Enviro’s consolidated order book stands at about ₹5,600 crore. This includes ₹4,400 crore in EPC projects, with ₹2,500 crore from water and ₹1,900 crore from renewables, along with ₹1,200 crore in operations and maintenance. The group also has an IPP portfolio of 79 MW solar and 150 MWh battery energy storage.
The transaction will be funded through an equal mix of equity and debt. Suyog Urja operates on an asset light, zero debt model and is expected to report revenue of ₹355 crore and profit after tax of ₹38 crore for FY26.
The deal also allows Enviro to diversify its client base, gain access to larger energy projects, and build on Suyog Urja’s relationships with renewable energy developers.
